We note that if a third party has been damaged by reliance on a negligent misrepresentation what is often referred to as equitable estoppel that is a recognized defense in actions by one in privity of estate with another, and a cause of action for damage is thus established. (Prosser on Torts, 2d ed., p. 539 et seq.) But there is no privity of contract between the injured third party and the person who makes a negligent representation. The responsibility for making good faith representations to a third party, where they are relied upon by the third party and are of special value or concern to him, is also generally placed by the law upon the person who makes the representations, even though he is not in privity of contract with the third party.
This is the rule even in cases where recovery is sought from the maker of the representation for personal liability. (See Note, Liability of Railroad for Third Party Negligence, 36 Minn. L. Rev. 860, 866 et seq.) The liability of a maker of a negligent misrepresentation is not a source of liability subject to the policy considerations and considerations of public policy or social policy stated in section 38 of the Restatement of Torts, supra, as adopted by this court in Johnson v. State of California, supra. It is merely a matter of simple common law liability for damage based on negligence, which is subject to all the defenses available to a negligent tort feasor. Thus, the defense that the party injured was guilty of contributory negligence must be *589 asserted and is in fact available to the defendant. We are unaware of any provision of the law that imposes any duty or obligation on one who makes a negligent misrepresentation to the third party to indicate in the communication to the third party the fact that the party to whom it is made is in fact responsible for the situation and condition represented.
The judgment is reversed.
